Яковлев передаст контрольный пакет акций «Эльдорадо» чешской группе PPF

Основатель крупнейшего российского непродуктового ритейлера «Эльдорадо» Игорь Яковлев передаст 50% плюс 1 акция материнской компании сети — чешской группе PPF, погасив таким образом свои долги.

Игорь Яковлев и акционеры PPF Group договорились в минувшую субботу. «Сделка будет оформлена как конвертация значительной доли кредита [который PPF дала “Эльдорадо”] в 51% плюс 1 акция российского ритейлера», — рассказывает Милан Томанек, директор по коммуникациям PPF Group. Источник, близкий к одной из сторон сделки, уточняет, что в акции конвертируется долг примерно на $400 млн. «В переговорах принимали участие акционеры PPF Group Петер Келлнер и Иржи Шмейц, мы подписали меморандум о взаимопонимании. Моя доля составит 50% минус 1 акция», — добавляет Яковлев.

По словам Яковлева, с Келлнером и Шмейцем его связывает не только бизнес, но и дружба, поэтому в тяжелое для «Эльдорадо» время PPF предоставила ритейлеру кредит в $150 млн. «Речи о передаче доли в компании тогда не было. “Эльдорадо” не хватало средств, и мы вынуждены были просить PPF Group об увеличении кредита», — продолжает он. Сколько именно «Эльдорадо» была должна чехам на тот момент, Яковлев не говорит; ранее он признавался, что общий долг компании летом 2008 г. составлял около $1 млрд.

Осенью PPF предоставила «Эльдорадо» кредит на $500 млн до сентября 2010 г. (эта сумма включает транш в $150 млн). Условия сделки подразумевают, что кредитор может приобрести мажоритарную долю ритейлера, сообщила тогда группа.

Кредитный договор предусматривал два варианта погашения: либо деньгами, либо долей, размер которой должен был быть определен по итогам продаж компании за 2009 г. «Теперь мы отказались от обоих вариантов. Меморандум зафиксировал доли сторон. Я ничего больше не должен PPF Group, а она — мне», — говорит Яковлев. Сколько и кому должна компания, не раскрывается.

«Совет директоров “Эльдорадо” пока не выбран, но в него точно войду я и Иржи Шмейц», — рассказывает Яковлев. «Яковлев сохранит участие в операционном управлении «Эльдорадо», — говорит Томанек.

Сделка пройдет в три этапа: «Тентеко лимитед», владеющая 100% ООО «Эльдорадо», продаст их «Истерн холдинг лтд», которую, в свою очередь, купит «Фасиперо». Все три компании кипрские, бенефициаром является Яковлев. А потом PPF Group через «Тромсон энтерпрайзис лимитед» получит 50% плюс 1 акция «Фасиперо».

Все три сделки уже одобрены ФАС России. Тимофей Нижегородцев, начальник управления контроля социальной сферы и торговли ФАС, объяснил, что в заявке от PPF Group говорится о возможности продажи доли в «Эльдорадо» компании «Дженерали файненшл холдингс ФСП», которую контролирует итальянская страховая группа Generali (партнер PPF). Томанек отказался обсуждать возможность этой сделки. «Я никогда не встречался с представителями Generali Group», — утверждает Яковлев. Представитель Generali отказался от комментариев.
